Experteer Overview

In this role you will serve as a key legal advisor on sophisticated corporate matters, including domestic and cross-border transactions, governance, and regulatory compliance. You’ll partner with leadership to guide fiduciary duties, risk management, and strategic structuring for professional services firms. You will drive due diligence, document negotiation, and cross-team coordination to enable successful transactions and strong governance.

This is an opportunity to shape major deals and governance practices within a global firm that values practical solutions and client impact. You will work closely with cross-functional teams and senior leaders to improve processes and support growth.

Retribuzione / Benefits

  • Assist with acquisitions, divestitures, joint ventures and other transactions (US and cross-border)
  • Draft and negotiate transaction documentation (purchase agreements, IOIs/LOIs, term sheets, confidentiality, exclusivity, disclosure schedules, transition services, closing deliveries, personnel and equity arrangements)
  • Manage due diligence processes across IT, Talent, Finance, Tax, IP, Data Security, Risk/Insurance, etc.
  • Corporate structuring for US and international regulated professional services firms
  • Corporate secretarial matters (global registrations, board resolutions, minute book maintenance, notarial and apostille processes)
  • Advise board and executives on fiduciary duties and governance best practices; manage conflicts of interest and related-party transactions
  • Credit facilities, private notes, and other indebtedness transactions and related docs
  • Review insurance matters (professional liability, cyber, D&O, casualty)
  • Review and negotiate commercial agreements (vendor, office leases, professional services)
  • Coordinate with business leaders on risk, approvals, communications; aid policy development and compliance
  • Partner with GC office on AI efficiency, document management, and process improvements
  • Handle transaction-related disputes as needed

Responsabilità

  • 6-10 years of corporate legal experience in law firm and/or in-house
  • Licensed attorney in good standing
  • Ability to provide practical solutions amid complex legal requirements
  • Experience in partnerships and professional services; accounting networks; audit independence matters; and restrictive covenants; professional liability insurance matters (preferred)
