Your Role and Responsibilities

Key responsibilities include:

  1. Providing legal support on a broad range of corporate matters, including transactions such as mergers, de-mergers, acquisitions, and divestitures (assets or share deals).
  2. Supporting our Italian clients across all lines of business with legal matters.
  3. Drafting, reviewing, and negotiating commercial and public contracts, including those related to corporate aspects of transactions.
  4. Collaborating with other specialists in the Legal team on compliance, privacy, and competition issues.
  5. Engaging with executives and working collaboratively within the Italian Legal team and across other jurisdictions.

Required Technical and Professional Expertise

  • Italian lawyer with 5-6 years PQE in a reputable commercial law firm or in-house in an international environment.
  • Strong knowledge of corporate law and transactions, commercial contract law, and good notions of IP and antitrust law.
  • Experience in drafting, negotiating, and vetting complex commercial contracts.
  • Fluent in Italian (written and spoken) and proficient in English (spoken and written).
  • Ability to organize, prioritize, and meet deadlines in a fast-paced environment.
  • Proven ability to work collaboratively and communicate legal concepts clearly and persuasively.
  • Self-motivated, with strong work ethics and a proactive, customer-oriented attitude.
  • Flexible, agile, and eager to learn and innovate.
  • Committed to integrity and aligned with IBM's values.
  • Italian mother tongue.

Preferred Technical and Professional Expertise

  • Qualified in an EU member state.
  • Additional language skills are an advantage.
  • Experience in ICT industry, regulated markets, or in-house roles is a plus.
