Overview

JOB PURPOSE : To provide legal counsel and advice to Caterpillar’s Financial Product Division’s entities in Spain, Italy, Portugal and France on all issues related to legal matters involving these legal entities.

Responsibilities

JOB DUTIES : Responsibilities of this Corporate Counsel position include effective performance of legal functions for Caterpillar’s Financial Product Division’s legal entities in Spain, Italy, Portugal and France. The incumbent will have responsibilities on areas including corporate, commercial, recovery litigation, regulatory compliance, or other matters. Under the guidance of more senior attorneys, and in collaboration with other Caterpillar attorneys as may be necessary, the incumbent provides counsel on a variety of legal matters to assigned general topics or company departments and functional areas. The incumbent serves as the primary legal representative for the assigned business units and provides daily counseling requiring accurate interpretation of the law and preparation of legal documents.

This Corporate Counsel position :

  • consults with management on matters involving moderate risk to the enterprise and requiring a high degree of confidentiality;
  • provides recommendations concerning legal issues applicable to assigned areas of responsibility.
  • drafts, reviews, and revises a wide variety of legal documents
  • monitors relevant changes in laws and regulations in assigned areas and informs management of the effects of these laws on particular functions.
  • with regular direct support of other attorneys and leadership, participates in day-to day tactical legal practice, identifying and resolving issues in a focused practice area, such as commercial, litigation, regulatory, or other areas.
  • Manages outside counsel;
  • represents the company in negotiations with governmental agencies, legislators, suppliers, dealers, customers, etc.
  • Works with internal customers and keeps supervising attorney informed, but is given some latitude in assigned areas as a staff level attorney;
  • The incumbent acts as a consultant to senior management. May serve as a resource in a focused area or serve multiple units in a broader functional area and assist senior management in interpreting and using information provided.

The position might require frequent travel (up to a full week a month).

Employee may also be responsible for performing other job duties occasionally as assigned.

Background / Experience

BACKGROUND / EXPERIENCE : Minimum requirements of the position include all of the following : a) a degree in law (at least bachelor or equivalent); b) typically at least 6 or more years of post-qualification experience as in house counsel or in a law firm; c) experience providing legal support for a credit institution or bank would be a plus; e) ability to work in English, as well as the ability to maintain confidentiality, along with excellent interpersonal skills and personal accountability is a must; f) full professional proficiency in Spanish, Italian, Portuguese and French will be a huge advantage f) an active license or officially qualified or admitted to practice law as in-house counsel to the extent as required in Spain.
