With reference to the renewable energy sector (solar, offshore wind, and battery energy storage systems) and the various geographies (Italy, Greece, Romania, and Canada) where Starlight is active, the Resource will be requested to provide legal support within the following areas:

  • Business Development: Handling extraordinary transactions related to development activities in each country, including contractual negotiations of development services agreements and joint venture arrangements (such as constituting documents). This may be performed directly or through external law firms.
  • Project Development: Providing legal support for ongoing activities related to projects under development in various countries, focusing on contractual and corporate matters.
  • M&A Transactions: Assisting in acquisitions of projects, rather than disposals of Starlight's own assets.

Regarding NextStep activities, the Resource will support in:

  • Negotiating terms sheets, investment agreements, joint ventures, etc.
  • Corporate governance, compliance, and company secretarial duties for NextStep.

KEY ACCOUNTABILITIES

  • Supporting Business Development and M&A transactions, including reviewing and negotiating contractual documentation (NDAs, LOIs, SPAs, SHAs, project financing, security packages) and managing external legal consultants.
  • Assisting in due diligence processes for transactions like project acquisitions or disposals, from legal VDR preparation to Q&A management.
  • Facilitating partnerships in new countries by reviewing and negotiating agreements (MoUs, development services agreements, shareholders agreements, incorporation deeds, bylaws) and supporting the incorporation of new legal entities.
  • Providing legal support for ongoing project development activities, including land agreements, consultancy arrangements, and management contracts.
  • Supporting legal operations setup for new countries and corporate governance in cooperation with central functions and compliance.
  • Assisting the corporate secretary and coordinating governance activities across legal entities.
  • Managing potential claims and litigations, overseeing external lawyers, and coordinating external legal advisors and notaries involved in transactions.

EXPERIENCE & QUALIFICATIONS

  • Law degree and admission to the bar in the domicile/residence country.
  • Minimum of 5+ years in law firms or corporate legal departments within the renewable energy sector, with experience in M&A, due diligence, and project agreements.
  • Fluency in English and at least one of Italian, Spanish, German, or French.
  • Proficiency in MS Office tools (Outlook, Word, Excel, PowerPoint).
