A protagonist in major global strategic programs, it is a technological and industrial partner of Governments, Defense Administrations, Institutions, and businesses.Within the **Legal Affairs – Cyber & Security Solutions Division**, we are looking for a **Legal Expert Domestic Business** for our **Genoa – Fiumara** office who, with specific reference to negotiation procedures governed by the **Public Contracts Code** and generally those with private entities, will act as a Legal Partner for the Division in the domestic market.The person will be responsible for the following activities:* Management of legal and contractual matters inherent in the offer and subsequent contract execution phases, especially with reference to procedures governed by the Public Contracts Code (particularly tenders/concessions), but also with reference to those in the private sector. Examination of tender documents, participation requirements, formulation of clarification requests, management of contractual agreements instrumental to the offer and subsequent executive contract;
* Interacting with other internal Bid Team functions, being the reference point for legal and contractual aspects, with particular reference to payment regimes, penalties, liabilities, damages, IPR issues, and Model 231 profiles, etc., with a view to risk mitigation, also by preparing the legal content of the documentation required by the internal company Tender Vet process;
* Examining, drafting,commenting on, proposing specific modifications to, and directly negotiating with counterparts the agreements and understandings generally used for the national market, such as: NDAs, MoUs, RTI regulations, consortia, subcontracts and sub-supplies, commercial or industrial collaboration agreements, distribution, software licenses, hold harmless agreements, settlement agreements, and similar;
* Supporting the divisional Procurement function on specific issues affecting suppliers;
* Management of issuesrelated to pre-litigation contractual phases and/or debt recovery, including within insolvency procedures, in collaboration with other involved company functions;
* Providing legal opinions and interpretations on regulations of interest for the aforementioned matters, to guide the Division's decisions, in coordination with other involved internal functions.**REQUIREMENTS****Education**A Law Degree or equivalent is required;
a lawyer's title is preferable.**Seniority**Senior / Master. Proven previous experience of approximately 10 years in managing issues related to the activity areas described above is required.**Technical Knowledge and Skills*** Proficiency in the Public Contracts Code and related regulations and, in general, the institutions of Italian contract law applicable to public tender procedures and/or agreements with private clients and partners;
* Ability to analyze tender documents and/or third-party proposals, including formulating comments and specific modification proposals, with experience in direct negotiation with counterparts, in order to enhance the Division's business propositions and/or mitigate assumed risks;
* Ability to guide business functions, once their market objectives have been identified, to identify and propose consistent and effective contractual models for those objectives;
* Elements of privacy law (GDPR), NIS2, insolvency procedures, intellectual property.**Behavioral Skills:*** Team Working;
