JOB SUMMARY
As Legal Counsel, you will report to the Associate General Counsel – Global Legal Procurement and assist others within the Vertiv Global Legal Department. You will provide practical, timely legal support to the Global Procurement and Supply Chain Management functions, focusing on contract drafting, review, and compliance matters under close guidance and mentorship.
ESSENTIAL FUNCTIONS
Draft, review, and support negotiation of standard procurement and supply chain contracts, including:
- Master Service Agreements
- Purchase Orders
- Non-Disclosure Agreements (NDAs)
- Supply Agreements
- Logistics Agreements
- Manufacturing Agreements
- Software-as-a-Service (SaaS) Agreements
- Advise on supplier risk management, including due diligence, contract terms to mitigate risk, and compliance with anti-bribery and corruption laws (e.g., FCPA).
- Conduct legal research and help prepare summaries on supplier risk, compliance, and regulatory issues.
- Support implementation of global procurement policies and contract management processes.
- Assist with reviewing and maintaining legal templates, playbooks, and contract records.
- Collaborate with internal business teams and external counsel to ensure timely and compliant contract execution.
- Partner with the procurement and supply chain teams to develop and implement legal compliance programs.
- Stay up-to-date on relevant laws and regulations impacting global procurement and supply chains.
- Manage outside counsel relationships for specialized legal matters.
- Proactively identify and address potential legal issues related to procurement activities.
- Provide clear and concise legal advice to business partners in a timely manner.
SKILLS AND EXPERIENCE
- Demonstrated strong broad-based experience in various areas of law;
- Demonstrated strong experience with commercial transactions, including drafting and negotiating transaction documentation;
- Good understanding of corporate and contract law principles.
Demonstrated ability to manage multiple tasks, meet deadlines, and communicate effectively in a multicultural environment.
REPORTING RELATIONSHIPS
The Legal Counsel will report to the Associate General Counsel – Global Legal Procurement.
INTERACTIONS
The Legal Counsel will interact with management, and business associates across corporate and business functions and departments, including manufacturing and operations, procurement and supply chain, IT, engineering, and strategy and business development teams, as well as external legal service providers.
POSITION ELIGIBILITY REQUIREMENTS
Position eligibility requirements such as travel, driver’s license, and physical working conditions are required.

- Maintain Confidentiality: Ability to maintain the confidentiality of client information.
BASIC QUALIFICATIONS
- Associate degree from an accredited university with a strong academic record.
- Member (or eligibility) of a national/state bar.
- 1–3 years of experience in an in‑house or law firm environment with exposure to commercial transactions or procurement matters.
- Excellent written and verbal communication skills in English.
Strong organizational skills, analytical mindset, and attention to detail.
