JOB DESCRIPTION

As Tech IB Legal Counsel at Growth Capital , you will provide comprehensive legal support across all aspects of the business, focusing on investment agreements, corporate governance, M&A and fundraising transactions for our scale-up clients . You will also work closely with the Growth Engine and A-Road teams, negotiating and managing legal matters related to portfolio companies . Your role will involve close collaboration with senior team members to ensure legal compliance and the seamless execution of transactions.

You will represent GC at key industry events , staying updated on legal trends , market development and sector regulations. You will also play an active role in contributing to the creation of industry best practices within the venture capital ecosystem.

Expected start date: January 2026 (flexible on candidates’ needs).


MAIN ACTIVITIES AND REQUIREMENTS

As part of our young and dynamic team (have a look at our smart working week pictures on LinkedIn and on the website!), the Tech IB Legal Counsel will be involved in a wide range of legal activities, including:

  • 360° Legal Support for Growth Capital : drafting, reviewing and negotiating a broad spectrum of commercial agreements; ensuring legal documentation is well organized, compliant, up-to-date; managing and monitoring the existing contractual positions; providing ad hoc legal advice on a various business matter and overseeing litigation when necessary
  • 360° Legal Support for Growth Engine : investment vehicle with more than 45 companies in the portfolio (
  • Negotiation for Growth Engine & A-Road : drafting, reviewing and negotiating investment agreements and other legal documents related to extraordinary financial transactions on behalf of Growth Engine and A-Road ( the leading Series A accelerator in Italy
  • Legal Counsel for Scaleups : providing strategic legal counsel on key projects, with a focus on corporate governance and extraordinary M&A and fundraising transactions for scale-up clients
  • Industry Events and Legal Updates : representing Growth Capital at relevant industry events to stay informed on legal and market developments in venture capital and financial operations, while offering insights on legislative changes affecting the VC industry
  • Defining VC Best Practices : playing an active role in shaping VC best practices, collaborating with other leading industry players to drive forward innovation and standard-setting.


 The position requirements are:

  • Law degree
  • 2-3 years of relevant legal working experience, preferably in venture capital, M&A and corporate law
  • Strong understanding of corporate law, investment agreements and corporate governance with proven negotiation skills
  • Excellent familiarity in the use of the Office package (Excel, Word, PowerPoint)
  • Significant study or work experience abroad
  • Outstanding educational track record
  • English : fluent
  • Italian : fluent
  • Spanish or French is a plus.

SELECTION PROCESS

Screening:

  • Apply via LinkedIn sending your CV
  • Only CVs that meet the requirements detailed in the announcement will be considered
  • Those selected for the second round will be asked to submit a short video in English of up to 90 seconds, and only candidates who send the video will be considered for the interviews phase.

Interviews:

  • 2 introductory interviews with senior members of our team to assess motivation and personal fit with Growth Capital
  • Final round with 3 or 4 interviews by our senior team, including a case study, aimed at the assessment of the candidate's skills and growth potential to successfully integrate him/her into the team.
