Legal Counsel Subsidiaries

Bolzoni business is growing rapidly on an international scale, with the need to implement legal controls and protocol in all the Group subsidiaries. For these reasons we’re looking for a Legal Specialist judicious and driven to bring their talent to a wide range of legal activities.

A few examples of your responsibilities:

• Support and advise all the Group subsidiaries in the day-to-day legal activities, by also liaising and managing with external consultants.
• Support the Legal Dept. on main corporate transactions and compliance matters (such as conducting due diligences, analyzing and drafting transaction documents, and following post-completion formalities and obligations etc.);
  
• Assist with corporate governance matters for all the subsidiaries, such as the formation of new legal entities, the management of corporate legal requirements, and the maintenance of authorized officers, directors, and signatories;
  
• Support in the review and draft of international commercial contracts (general sales and purchase agreement, supply agreement, lease agreement, Dealer agreement, maintenance agreement, NDA, etc.);
  
• Stay up to dateon legal and regulatory developments;
  
• Provide sound and practical legal advice on a broad range of corporate and compliance matters. as well as a myriad other high-stakes endeavors to address the evolving needs of the company (you will be responsible for maintaining and nurturing the relationships with the Subsidiaries);
  
• Support the Legal Dept. on the main day-by-day activities and will be involved in extraordinary operations.

Required skills and Experience

• Around 3 years of professional experience as in‐house legal counsel in international companies or in a law firm assisting international corporate clients;
  
• Master Degree in law from a law school in Italy (post-graduation courses are a plus);
  
• Keen on workingin a dynamic and challenging commercial environment with international exposure.
• Great communication and negotiation skills and a goal-oriented approach;
  
• Excellent communication skills both in Italian and in English (both spoken and written);
  
• Ability to workin teamwork and be able to follow-through on a wide range of projects with detail and attention;
