We are looking for a Legal Counsel to join our Legal Department in Parma

The successful candidate will be responsible for providing comprehensive legal support to the company and its group across a range of activities, with a particular focus on corporate governance, group corporate structure management and regulatory compliance.

He/She will play a key role in supporting day-to-day legal matters, while also developing, implementing, and monitoring the company’s compliance framework in line with local and international regulations.

Duties and Responsibilities:

a. Corporate Affairs and Secretariat

  • Oversee the corporate governance activities of the company and its subsidiaries, ensuring compliance with local and international legal requirements.
  • Prepare and manage corporate documents, including Board of Directors and Shareholders’ resolutions, meeting minutes, proxies, powers of attorney, and relevant filings.
  • Act as the point of contact for external advisors, notaries, registrars, and corporate bodies for statutory matters.
  • Monitor and manage changes to the group legal entity structure, including incorporations, closures, and corporate reorganizations.

b. Legal Advisory:

  • Provide day-to-day legal advice to business units and corporate functions.
  • Draft, review, and negotiate a wide range of commercial contracts.
  • Act as a key interface with external counsel, ensuring efficient case strategy, risk mitigation, and cost control.
  • Support internal teams in the early identification and prevention of potential disputes, including contract-related risks.

c. Compliance:

  • Design, implement, and monitor the company’s compliance policies and procedures (e.g., Code of Conduct, anti-bribery, conflict of interest, whistleblower policy).
  • Ensure the company’s operations comply with relevant laws and regulations, including anti-corruption laws, data protection laws (e.g., GDPR), and sector-specific regulatory requirements.

Requirements:

  • At least 5-8 years of experience in legal and compliance roles, ideally in a multinational company or reputable law firm.
  • Solid expertise in corporate law, compliance, and regulatory frameworks (e.g., EU regulations, anti-corruption laws, data privacy such as GDPR).
  • Law Degree.
  • Qualification to practice law in Italy.
  • Fluent in English.
