YOUR CHALLENGES
You will join the Group’s Legal & Corporate Affairs Department, which includes the Legal, Corporate, and Compliance areas. The Legal Area handles all legal matters related to the Group's operations, including contracts, litigation, regulatory advice, and legal risk management. The Corporate Area oversees governance, entity management, and support for the Board of Directors and shareholders. The Compliance Area ensures adherence to laws, regulations, policies, and ethical standards across the organization.
As Legal Counsel, you will be part of the Legal Area at the Group Headquarters, providing legal advice and support to top management and various business functions. Your responsibilities will include:
- Drafting, reviewing, and negotiating a wide range of commercial agreements, including EPC and turnkey contracts, engineering and consultancy agreements, O&M contracts, NDAs, JDAs, and collaboration agreements.
- Leading negotiations of complex contracts based on international standards such as FIDIC, NEC, IChemE, and Orgalime.
- Reviewing tender documentation for the supply of complex plants, components, and O&M services, assessing risks and legal implications.
- Coordinating input from various company functions during contract drafting and negotiations.
- Providing legal opinions on regulatory matters and assessing transaction feasibility and enforceability.
- Supporting multidisciplinary project teams in structuring and implementing complex initiatives.
- Managing pre-litigation and litigation processes involving clients, suppliers, and third parties.
- Liaising with external counsel across jurisdictions, managing budgets, and overseeing legal work.
- Promoting legal awareness through internal training sessions for operational and managerial staff.
WHY WE WOULD CHOOSE YOU
- You hold a Law degree and are admitted to the Bar in an EU Member State, the UK, or the US; being a licensed attorney is a plus.
- You have at least 8 years of post-graduate professional experience, including a minimum of 5 years in structured multinational companies in the industrial or plant engineering sector.
- You are fluent in both Italian and English, written and spoken; knowledge of a third language is a plus.
- You are willing to travel abroad.
- You possess personal authority and the ability to build credibility and effective relationships with colleagues, management, and external stakeholders.
- You can manage multiple matters simultaneously, setting priorities effectively.
- You are adaptable, pragmatic, and solution-oriented in a challenging and evolving environment.
