The Role
Are you passionate about using your legal expertise to help power the shift to clean energy? This is a 12-month Legal Counsel role. The Legal Counsel is part of the Legal function and reports to the Head of Legal, Italy, working in close alignment with relevant end-to-end colleagues across the business. Based in Italy, the Legal Counsel will support legal strategy, performance, legal risk management and compliance for the Legal function in Italy, ensuring compliance with global Sonnedix policies at all times. The Legal Counsel will support all legal aspects of in-country energy projects and other transactional work in Italy, including M&A transactions and project financing, and will review and negotiate a wide variety of in-country commercial contracts across all Sonnedix functions, including Development Service Agreements, EPC and O&M Agreements, PPAs and ISDA documentation. The Legal Counsel will also support a wide variety of legal matters for the local Italy team, including employment, property, land, governance and corporate secretarial matters. The Legal Counsel will leverage and comply with function-wide Legal policies, such as the Legal Panel, shared technology and compliance requirements, working closely with the Head of Legal, Italy to embed consistent standards across the Legal function. The Legal Counsel will work cross-functionally with the wider Legal team and other departments to develop the approach to in-country business legal support needs in Italy, contributing to the Legal function's use of technology and AI tools to optimise day-to-day legal work. Desirable Skills
Strong background in project development, infrastructure, construction and operational matters, ideally within the energy or renewable energy sector Demonstrated expertise in drafting and negotiating complex commercial agreements and transaction documentation, including construction, operations, financing and acquisition-related contracts Hands-on experience with project acquisitions, divestments, financing transactions and legal due diligence Professional proficiency in Italian and English, with strong stakeholder management and a pragmatic, business-focused approach to legal advice Familiarity with technological and AI tools for optimising day-to-day legal work AI & Digital Literacy: Ability to leverage AI and digital tools to improve efficiency, legal analysis, contract management and stakeholder collaboration. We use English as our business language. We deploy AI across the business, from generation and trading decisions to the everyday workflows of every team.
