Position

We are looking for a Legal Counsel Corporate Governance and Compliance to join our Corporate Governance & E&C team, reporting to the Head of Corporate Governance & E&C. In this role, you will support the organization on corporate governance, ethics & compliance matters at a Group level, working closely with senior management and international stakeholders.

You will play a key role in strengthening governance frameworks, ensuring regulatory compliance, and contributing to the development of a strong culture of integrity and accountability across the organization.

Key Responsibilities

Corporate Governance

  • Provide legal advice to senior management and business units on corporate governance, corporate law and regulatory compliance matters
  • Support the implementation and continuous improvement of the corporate governance framework, ensuring alignment with applicable laws and internal policies across jurisdictions
  • Assist in the preparation of Board and Committee materials, including agendas, resolutions and minutes
  • Ensure legal entity compliance (statutory filings, powers of attorney, corporate registers)
  • Advise on directors’ duties, conflicts of interest and shareholder rights
  • Support corporate law activities, including incorporation of entities, corporate reorganizations and governance of international subsidiaries

Ethics & Compliance

  • Contribute to the development, implementation and monitoring of the ethics & compliance program (policies, controls and training)
  • Support compliance risk assessments, audits and policy development (e.g. anti‑bribery, anti‑corruption, gifts & hospitality)
  • Support the activities of the Organismo di Vigilanza (OdV) under Legislative Decree 231/01
  • Assist in the management of whistleblowing channels, internal investigations and remediation actions
  • Ensure compliance with GDPR and data protection regulations, supporting documentation and incident response processes
  • Provide legal support on cybersecurity and digital regulations (e.g. NIS2 Directive, AI Act), coordinating with IT and security teams
  • Draft, review and negotiate contracts, internal procedures and regulatory documentation related to governance and compliance
  • Monitor regulatory developments and advise internal stakeholders on legal and compliance impacts
  • Support the design and delivery of legal and compliance training
  • Prepare legal reports, risk assessments and compliance dashboards for internal stakeholders

Requirements

  • Law degree; a postgraduate Master’s in Corporate Law, Compliance or Business Ethics is a strong plus
  • 2‑5 years of experience with focus on corporate governance, compliance and regulatory matters
  • Experience in corporate law and governance advisory, including management of corporate bodies, shareholders’ matters and group structures
  • Proven track record in developing and managing ethics & compliance programs (risk assessments, policies, training and monitoring)
  • Solid knowledge of anti‑corruption and anti‑bribery frameworks (e.g. Legislative Decree 231/01) and data protection regulations (GDPR)
  • Experience in internal investigations, whistleblowing management and interaction with regulatory authorities
  • Understanding of national and international compliance standards and corporate governance best practices
  • Analytical, pragmatic and solution‑oriented mindset, with the ability to manage complex legal matters
  • Experience in international and fast‑paced environments, working with cross‑functional and cross‑border stakeholders
  • Excellent drafting and communication skills, with the ability to translate complex legal concepts into clear business guidance
  • Fluent Italian and English (written and spoken)

Nice to have

  • Familiarity with cybersecurity and digital regulations (e.g. NIS2 Directive, AI Act)
  • Experience collaborating with IT or information security teams on compliance and risk topics

Location

Hybrid remote and Offices Milan.
