Legal & Compliance Officer (LCO) – Institute Itech
Full‑time position.
Hybrid work model (Milan, Italy – with international scope).
Travel and meeting expenses will be reimbursed upon approval.

About the Role Institute Itech is seeking a rigorous and internationally minded Legal & Compliance Officer to build and oversee the Institute's legal framework, corporate governance structure and compliance operations. The LCO will serve as the primary legal reference point for Institute Itech’s leadership, providing strategic counsel on corporate matters, contractual obligations, regulatory compliance and the legal dimensions of international expansion – including the structuring of new entities, investment agreements and cross‑border partnerships. This is a high‑responsibility role suited to a legal professional with a strong corporate law background, experience operating across multiple jurisdictions and the ability to work autonomously in a fast‑moving, innovation‑driven environment.
Responsibilities Corporate Law & Governance
Oversee and maintain Institute Itech’s corporate legal structure, governance documents and statutory obligations
Advise executive leadership on corporate law matters, including entity structuring, shareholder agreements and board governance
Support the legal setup of new entities and subsidiaries, including international incorporations
Manage corporate secretarial functions and regulatory filings
Contract Management & Commercial Law
Draft, review and negotiate a wide range of contracts including NDAs, partnership agreements, service agreements, licensing contracts and investment term sheets
Manage the Institute’s contract lifecycle and maintain an organized legal documentation repository
Provide legal support to business development, investor relations and operational teams
Regulatory Compliance
Ensure Institute Itech’s full compliance with applicable Italian, European and international regulations
Monitor regulatory developments relevant to the Institute’s activities, including data protection (GDPR), AI regulation, environmental law and financial compliance
Develop and implement internal compliance policies, procedures and training
International Legal Support
Provide legal guidance on cross‑border transactions, international partnerships and multi‑jurisdictional operations
Coordinate with external legal counsel in relevant jurisdictions (Saudi Arabia, China, EU member states)
Support the legal structuring of investment agreements and capital attraction initiatives
Risk Management
Identify, assess and mitigate legal and regulatory risks across the organization
Advise on dispute resolution, litigation management and legal risk exposure
Maintain and update the Institute’s legal risk register
Requirements
Law degree (Laurea Magistrale in Giurisprudenza or equivalent international qualification)
Minimum 5–7 years of experience in corporate law, either in-house or within a law firm with a strong corporate practice
Solid expertise in Italian and European corporate law
Experience drafting and negotiating complex commercial and corporate agreements
Familiarity with international regulatory frameworks and cross‑border legal operations
Fluent English (mandatory)
Fluent Italian (mandatory)
Strong analytical, organizational and communication skills
Ability to operate with autonomy and sound judgment in a dynamic, international environment
Preferred Qualifications
Experience supporting international expansion or the legal setup of foreign subsidiaries
Knowledge of GCC, Middle Eastern or Asian legal and regulatory environments
Familiarity with GDPR, EU AI Act or sector‑specific regulations relevant to technology and research organizations
Experience with investment agreements, term sheets or venture capital legal structures
Background working with research institutes, technology companies or innovation‑driven organizations
Additional language skills (Arabic, Mandarin or French considered an asset)
