The Role
Reporting to the Legal Counsel responsible for M&A and International Projects of Arsenale Group, the role will provide dedicated legal support to the Group’s M&A transactions and international projects, ensuring robust compliance with laws and internal policies.
Key responsibilities
- Drafting and negotiating agreements related to extraordinary transactions including acquisitions and disposals of shares, business unit sales and leases, joint ventures, strategic partnerships, and shareholder agreements, both in Italian and English.
- Managing and executing preliminary and post-transaction activities such as drafting closing agendas and defining conditions precedent.
- Coordinating diverse, multi-disciplinary, and international teams during complex transactions.
- Drafting and negotiating corporate documentation, including minutes of shareholders' meetings and Board of Directors meetings, ensuring compliance with Italian corporate law.
- Handling relationships between mutliple shareholders, managing obligations under shareholder agreements, and navigating different corporate scenarios.
- Identifying and addressing legal issues and risks relevant to current and strategic initiatives.
- Maintaining a proactive approach in keeping abreast of international legal developments relevant to the Group’s activities.
- Liaising effectively with external legal advisors and consultants, coordinating their inputs on critical legal matters.
Qualifications & Experience
- Italian law degree required; attorney qualification preferred.
- Minimum 3 years of experience in top-tier Italian or international law firms within Corporate, M&A, Finance, or Project Finance practice areas; or at least 5 years within the legal department of a mid-sized or large corporation with relevant exposure.
- Excellent command of English, both written and spoken; ability to draft and negotiate contracts in English effectively.
- Proven track record in managing corporate transactions and compliance with corporate governance.
