Responsibilities

• Manage the Italian Legal team.
• Lead and oversee the legal department in drafting, reviewing, and negotiating a wide range of agreements, including project development agreements, land lease agreements, PPAs, EPC contracts, supply and service agreements, financial contracts, consultancy agreements, cooperation and joint‑venture agreements, and all related commercial contracts, including sales agreements and documentation supporting M&A transactions.
• Review project finance documents and shareholder agreements.
• Ensure a timely response from the legal department to notifications, variations and project needs in coordination with project management and site teams.
• Support the operations departments in handling and negotiating supplier/sub‑contractor variations, change orders etc.
• Define procedures for the Legal department.
• Manage functional budgets.
• Ensure the development of team members.
• Define the department objectives and priorities that respect the company direction, giving the team the future vision.
• Support the establishment and maintenance of companies and corporations, including drafting minutes and shareholder resolutions.
• Ensure the business adheres to legislation and good practice in all procurement activities.
• Coordinate external legal advisors.
• Foster relationships and networking within the legal community.

Qualifications

• Master’s degree in law (LL.B. or equivalent), preferably with a specialization in Energy Law, Corporate Law, or Administrative Law.
• Professional qualification to practice law (Bar admission).
• Minimum 10 years of legal experience within the energy, infrastructure, or industrial sectors.
• At least 5 years in a leadership role.
• Proven expertise in managing legal aspects of project development, permitting, EPC contracts, M&A transactions, and corporate governance.
• Deep understanding of Italian and EU regulatory frameworks related to renewable energy, land use, environmental law, and grid connection.
• Experience in negotiating and drafting complex agreements (e.g., Development Service Agreements, Share Purchase Agreements, EPC and O&M contracts).
• Strong leadership and team management skills, with the ability to coordinate internal legal teams and external counsel.
• Excellent communication and negotiation skills, with experience supporting senior management and cross‑functional teams.
